Building Impactful Solutions
Last updated: 18 October 2026
We provide services that may include website and web application design, software development, integrations, consulting, maintenance, hosting coordination, and technical support (“Services”).
The specific Services, deliverables, fees, schedule, and assumptions for a project will be set out in a written proposal, quotation, or statement of work (“Project Agreement”). If a Project Agreement conflicts with these Terms, the Project Agreement takes precedence for that project.
You agree to:
Delays caused by missing information, access, approvals, or other Client dependencies may affect project timelines and costs.
Fees, payment milestones, and any recurring charges will be stated in the Project Agreement or invoice. Unless otherwise stated, invoices are due within [14] days of the invoice date.
Late payments may result in interest at the legally permitted rate and, after reasonable notice, suspension of work or Services. You are responsible for applicable taxes and for third-party charges approved by you, such as hosting, domains, software licences, payment processing, or API usage.
Project dates are estimates unless expressly stated as binding in the Project Agreement. We will make reasonable efforts to meet agreed milestones, but delivery may depend on timely Client input and third-party services.
You will review each deliverable within [10] business days of delivery and notify us in writing of any material failure to meet the agreed specifications. We will use reasonable efforts to correct confirmed defects within the agreed scope.
Unless the Project Agreement says otherwise:
We may use general skills, experience, techniques, and know-how gained while providing the Services, provided we do not disclose your Confidential Information.
A project may rely on third-party products or services, including hosting providers, domain registrars, APIs, payment processors, analytics tools, or software libraries. Those services are governed by their own terms and policies. We are not responsible for their availability, security, changes, or performance, except to the extent caused by our own breach of the Project Agreement.
Any third-party fees are your responsibility unless the Project Agreement states otherwise.
Hosting, maintenance, backups, monitoring, updates, and support are included only where expressly stated in the Project Agreement or a separate service plan.
Where we provide these services, the applicable service levels, fees, exclusions, and response times will be set out in that agreement. We do not guarantee uninterrupted or error-free operation of any website or application.
Each party will take reasonable steps to protect the other party’s non-public business, technical, and financial information and use it only for the purposes of the project.
Each party will comply with applicable data protection and privacy laws. The Client is responsible for determining the purposes and lawful basis for collecting personal information through its website or application and for providing required notices to its users. If we process personal information on your behalf, the parties will agree on any additional data-processing terms required by law.
We will perform the Services with reasonable skill and care and in accordance with the agreed specifications.
Except as expressly stated in these Terms or a Project Agreement, the Services and deliverables are provided without other warranties, to the maximum extent permitted by law. We do not warrant that a website or application will be uninterrupted, completely secure, compatible with every device or third-party service, or free from all defects.
To the maximum extent permitted by law, neither party is liable to the other for indirect or consequential loss, loss of profits, revenue, anticipated savings, business opportunity, or data.
Late payments may result in interest at the legally permitted rate and, after reasonable notice, suspension of work or Services. You are responsible for applicable taxes and for third-party charges approved by you, such as hosting, domains, software licences, payment processing, or API usage.
Either party may terminate a Project Agreement in accordance with its terms. If no termination terms are stated, either party may terminate by giving [30 days’] written notice.
Either party may terminate immediately by written notice if the other party materially breaches these Terms and fails to remedy the breach within [14 days] after receiving written notice.
On termination, you must pay for Services performed and approved expenses incurred up to the termination date. Any unpaid fees become due. Each party will return or securely delete the other party’s Confidential Information on request, subject to legal retention requirements.
